Hyvio Terms & Conditions

These Terms & Conditions (the "Terms") govern access to and use of the Hyvio website, web applications, mobile applications, APIs, content, and related services (collectively, the "Services"). The Services are provided by Lucky Shifts V.O.F. under the "Hyvio" brand ("Hyvio", "we", "us", or "our"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility & Accounts

You must be at least 18 years old and able to form a legally binding contract under applicable law to use the Services. If you create an account, you are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at hello@hyvio.app if you suspect any unauthorized use of your account.

2. Changes to the Terms

We may update these Terms from time to time. When we make changes, we will revise the “Last updated” date and, where appropriate, provide additional notice (such as by email or an in-product notification). Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

3. Description of the Services

Hyvio helps users identify HVO100 fuel stations, sustainable accommodations, points of interest, and related travel information. Certain recommendations, availability data, pricing information, ratings, and other content are provided by third parties or collected through publicly available sources. The Services are provided for general information and planning purposes only and are not a substitute for professional advice, due diligence, or on-site verification.

4. User Responsibilities

You may not use the Services for unlawful activities, reverse engineer or interfere with the Services, or attempt to access our systems without authorization. We reserve the right to suspend or terminate access for violations of these Terms.

5. Third-Party Services & Content

The Services may link to or integrate third-party websites, data feeds, payment services, booking platforms, or other resources. Hyvio does not control and is not responsible for third-party content, availability, accuracy, or practices. Use of third-party services is at your own risk and may be subject to separate terms and privacy policies.

6. Service Availability

We aim to keep the Services running smoothly but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue parts of the Services at any time without notice. Planned maintenance and upgrades may cause temporary disruptions.

7. Fees & Subscriptions

Certain features may be offered on a paid or subscription basis. Pricing, payment terms, and renewal conditions will be disclosed at the point of purchase. Unless otherwise stated, fees are non-refundable except where mandated by applicable law. You are responsible for any third-party charges (such as data or roaming fees) incurred while using the Services.

8. Intellectual Property

Hyvio and its licensors retain all rights, title, and interest in the Services, including software, designs, graphics, trademarks, and content. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

9. User Content & Feedback

If you submit reviews, route notes, photos, or other content (“User Content”), you grant Hyvio a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, translate, and display that content for the purpose of operating and improving the Services. You represent that you own or have the necessary permissions to share the User Content. We may remove User Content that violates these Terms or applicable law.

You may choose to provide feedback, ideas, or suggestions. By doing so, you agree that we may use this feedback without restriction or compensation to you.

10. Privacy

Our use of personal data is described in the Hyvio Privacy Policy. By using the Services, you consent to our collection and use of personal data in accordance with that policy. If the Services enable sharing of personal data with other users or third parties, you must only share data you have the right to disclose.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. HYVIO DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, COMPLETE, RELIABLE, AVAILABLE, SECURE, FREE FROM ERRORS OR MALWARE, OR THAT ANY ISSUES WILL BE CORRECTED.

INFORMATION ABOUT FUEL STATIONS, PRICING, ROUTES, AVAILABILITY, OR OTHER TRAVEL DATA MAY BE INACCURATE, OUT OF DATE, OR SUBJECT TO CHANGE WITHOUT NOTICE. YOU ASSUME FULL RESPONSIBILITY FOR VERIFYING INFORMATION BEFORE RELYING ON IT, AND YOU ARE SOLELY RESPONSIBLE FOR DECISIONS MADE IN RELIANCE ON THE SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYVIO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF HYVIO FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HYVIO, IF ANY, FOR ACCESS TO THE SERVICES DURING THE SIX-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) EUR 50. THESE LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF HYVIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Hyvio and its affiliates, officers, directors, employees, partners, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use or misuse of the Services, (b) your violation of these Terms, or (c) your infringement or violation of any third-party rights.

14. Suspension & Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created risk or possible legal exposure for Hyvio, other users, or third parties. You may stop using the Services at any time. Upon termination, provisions that by their nature should survive will remain in effect, including intellectual property, disclaimers, limitation of liability, and indemnification obligations.

15. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them are governed by the laws of the Netherlands, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You agree to submit to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands. Hyvio may seek injunctive or equitable relief in any jurisdiction to enforce its rights.

16. Compliance & Export Controls

You must comply with all applicable export control and economic sanctions laws. You represent that you are not located in, under the control of, or a resident of any country or territory subject to sanctions or on any government list of prohibited or restricted parties.

19. Additional Terms for Apple App Store Users

If you obtained the Hyvio mobile application (the "App") through the Apple App Store, the following additional terms apply in addition to and, where applicable, supersede other provisions of these Terms. In this section, "Apple" means Apple Inc. and its subsidiaries.

19.1 Acknowledgement

You and Hyvio acknowledge that these Terms are concluded between you and Hyvio only, and not with Apple. Hyvio, not Apple, is solely responsible for the App and the content thereof. Your use of the App must also comply with the Apple Media Services Terms and Conditions and any applicable Usage Rules.

19.2 Scope of License

The license granted to you for the App is a non-transferable license to use the App on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

19.3 Maintenance and Support

Hyvio is solely responsible for providing any maintenance and support services with respect to the App, as specified in these Terms or as required under applicable law. You and Hyvio acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

19.4 Warranty

Hyvio is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under these Terms. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Hyvio's sole responsibility.

19.5 Product Claims

You and Hyvio acknowledge that Hyvio, not Apple, is responsible for addressing any claims of you or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

19.6 Intellectual Property Rights

You and Hyvio acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Hyvio, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

19.7 Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

19.9 Third-Party Terms

You must comply with any applicable third-party terms of agreement when using the App. For example, if you use a data or mobile network service in connection with the App, you must not violate your wireless data service agreement or other applicable third-party terms.
